Job Description:
We are looking for a Commercial Contracts Manager to oversee our commercial contracts at the pre-award and post-award level.  
 
This position will support proposal activity, lead contract negotiations, review contract financing, conduct risk assessment and management, and ensure the protection of the organization’s interests, as well as full compliance with customer and contractual requirements through closeout.  Candidate willprovide strategic consultation and guidance to TORC management on all contractual, risk and business decisions that have an impact on the contracts function as assigned.  In addition to managing all aspects of TORCS commercial contracts, the successful candidate will be responsible for protecting TORC’s intellectual property and must be able to become specialized in understanding the company’s products and the intellectual property contained therein.

Responsibilities: 
  • Draft, evaluate, negotiate, and execute commercial contracts, as well as special terms and conditions
  • Ensure contracts are protecting TORC’s IP and support regular IP audits with contract-related information on ownership and rights
  • Communicate contract-related information to all stakeholders
  • Keep up-to-date records of all contract-related documentation and correspondence
  • Manage all Nondisclosure Agreements (NDAs), including drafting or evaluation, negotiation, record keeping, and compliance
  • Monitor and complete Contract close-out, extension or renewal, as appropriate
 
Qualifications: 
  • Bachelor’s Degree and 10 years of directly experience managing Commercial Contracts required
  • Demonstrated ability to influence and deal tactfully and confidentially with internal and external customers at all organizational levels in a fast-paced, dynamic environment
  • Working knowledge of Intellectual Property (IP) and software licensing models
  • Strong analytical and excellent communication skills
  • Ability to prioritize work and coordinate multiple tasks within time constraints 
  • Ability to work well on multi-functional teams
  • Integrity and strong focus on compliance with internal standards and policies
  • Proficiency in Microsoft Office Suite required
  • Strong leadership and team-building skills
